These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “User,” or “Visitor”) and Springtown Bookkeeping LLC (“Springtown,” “Company,” “we,” or “us”), governing (i) your use of Springtown’s website and (ii) the provision of bookkeeping and related professional services, unless superseded by a separate written engagement letter.
By accessing our website or engaging Springtown for services, you agree to these Terms.
1. Scope of Agreement
These Terms apply to:

Use of the Springtown website and online content, and
-
All bookkeeping and related services provided by Springtown, except where a written Client Engagement Letter applies, in which case the Engagement Letter controls in the event of a conflict.
2. Professional Services
Springtown provides bookkeeping and related administrative financial services, which may include but are not limited to:

Recording deposits and payments in QuickBooks Online

Recording payroll entries based on information provided by the Client
-
Monthly bank reconciliations
-
Periodic transaction coding requests
-
Preparation and delivery of financial reports (P&L, balance sheet, consolidated reports)
-
Preparation of IRS Forms 1099, when applicable
Springtown does not provide audit, review, compilation, tax, legal, or assurance services of any kind.
3. No Audit or Verification
Client acknowledges and agrees that:

Springtown relies entirely on information provided by the Client and third parties designated by the Client

Springtown does not verify the accuracy, completeness, or source of data provided
-
Springtown is not responsible for detecting errors, fraud, theft, or illegal acts
-
Springtown is not engaged to evaluate internal controls or identify material weaknesses
4. Client Responsibilities
To enable Springtown to perform services, Client agrees to:

Provide timely and complete access to financial records, documents, and systems
-
Maintain QuickBooks Online access and banking connectivity
-
Supply accurate information regarding loans, leases, assets, payroll, and contracts
-
Retain all underlying documentation supporting income and deductions
Implement and maintain internal controls and accounting policies
Safeguard business assets and authorize all financial transactions
Failure to meet these responsibilities may affect service quality and timelines.
5. Fees and Billing

Services are billed on an hourly basis unless otherwise agreed in writing

Invoices are issued monthly and are due upon receipt
-
Client agrees to reimburse reasonable out-of-pocket expenses incurred in connection with services
Unpaid balances may result in suspension or termination of services.
6. Confidentiality and Data Security
Springtown agrees to maintain the confidentiality of Client information and implement reasonable safeguards to protect such information.
Disclosure may occur:

To perform services (e.g., payroll providers, tax professionals, government agencies)

As required by law, regulation, subpoena, or court order
Springtown will notify Client upon discovery of any unauthorized disclosure of Confidential Information.
7. Website Use
The Springtown website is provided for informational purposes only.
You agree not to:

Misuse the website
-
Attempt unauthorized access
-
Reproduce or distribute content without permission
All website content is owned by Springtown or its licensors.
8. Third-Party Platforms
Springtown may utilize third-party platforms including, but not limited to:

QuickBooks Online
-
Payroll providers
-
Secure file-sharing systems
Springtown is not responsible for outages, errors, or data practices of third-party providers.
9. Limitation of Liability
To the maximum extent permitted by law:
Springtown shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business interruption, arising from:

Use of the website

Bookkeeping services performed based on Client-provided information
Springtown’s total liability shall not exceed fees paid for services during the six (6) months preceding the claim.
10. Indemnification
Client agrees to indemnify and hold harmless Springtown from any claims, damages, liabilities, or expenses arising from:

Inaccurate or incomplete information provided by Client
-
Client’s misuse of reports or financial data
-
Client’s failure to comply with laws or regulations
11. Termination
Either party may terminate services with 30 days’ written notice, consistent with the Engagement Letter.
Upon termination:

All outstanding invoices become immediately due
-
Client is entitled to a refund only for prepaid services not yet performed
-
Services are deemed performed once work has commenced
12. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any disputes shall be brought exclusively in the courts located in that state.
13. Severability
If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.
14. Entire Agreement
These Terms, together with any applicable Engagement Letter, constitute the entire agreement between the parties.
